Abstract

A no-challenge clause is commonly found in technology transfer orintellectual property licensing agreements. Under such a clause, the transferee(licensee) is prohibited from disputing or challenging the validity of the transferredtechnology or industrial property rights. Although the parties freely negotiate andinclude this clause based on principles of equality and mutual consent, it maynonetheless create anticompetitive effects. Consequently, in addition to contract law andintellectual property law, some jurisdictions have relied on competition law to regulateno-challenge clauses. This article analyzes how these clauses are governed in severalcountries and examines their relevance to Vietnamese law.
